Version: 2026-11-01 Last Updated: November 1, 2026
Summary of changes from the August 6, 2026 version. This version clarifies that Soldi Now is a software platform and that payments are processed by licensed third parties; covers guest ordering, self-service kiosks, table and online ordering, voice ordering, and ordering through third-party AI assistants (new Sections 2.5–2.7); covers in-person card payments (Section 2.4); describes how to opt out of promotional communications (Section 11.3); adds a service-availability disclaimer (Section 16.2); and adds informal dispute resolution, a small-claims option, a class-action waiver, and a right to opt out of arbitration (Section 17). By continuing to use the service after this version becomes effective, you accept the revised Terms.
Soldi Now, Inc. ("we," "us," "our," or "Soldi Now") provides a software platform that helps merchants take orders and accept payments, and helps customers order, pay, and earn rewards at participating merchants. Our services include ordering tools (such as online, table, kiosk, and voice ordering), checkout and payment facilitation, account management, the Soldi Now Cash Club rewards program, merchant-funded and brand-funded promotional offers, customer discovery features, and promotional communications sent on behalf of participating merchants.
Soldi Now is not a bank and does not itself process card payments. Bank payments are provided through Dwolla, Inc. and its financial institution partners (see Section 20), and card payments are processed by the merchant's card processor (see Section 2.4).
By creating an account, placing an order, making a payment, or otherwise using any services provided by Soldi Now—including as a guest without an account—you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you should not use our services. From time to time we may publish a new version of these Terms; the then-current version is identified by the Version date at the top of this document.
Soldi Now provides checkout experiences that let you pay participating merchants by linked bank account and, at participating merchants, by credit or debit card.
Users can create and manage Soldi Now accounts, which provide access to transaction history, account settings, rewards balances, promotional offers, and customer support.
Soldi Now may show you participating merchants and the offers available to you at each, including first-visit, repeat, and win-back offers. The offers shown to you may depend on your transaction history within the Soldi Now network and the campaigns active at each participating merchant.
At participating merchants, you may pay by credit or debit card online, on a self-service kiosk, or on a card reader at the counter. Card payments are processed by the merchant's card processor (such as NMI and its acquiring bank partners, or Stripe, Inc.). Soldi Now facilitates the checkout experience and does not receive or store your full card number or security code, which are collected by the card processor or its payment device subject to the processor's own terms and privacy policy. Card payments are governed by your card issuer's terms and are not electronic fund transfers from your bank account for purposes of Section 21.
You may place orders with participating merchants through Soldi Now—for example, on a merchant's online or table-ordering page, on a self-service kiosk, at the counter, or by voice. When you place an order, your order and purchase contract is with the merchant. The merchant is responsible for its menu, prices, taxes, the preparation and quality of the food or goods, and fulfillment of the order. Menu, dietary, and allergen information is provided by the merchant; if you have an allergy or dietary requirement, please confirm with the merchant's staff before ordering. Orders that are not paid within the time shown may expire and will not be prepared.
Some merchants offer voice ordering or other features that use automated or artificial-intelligence processing to understand your request and build your order. These features can misunderstand requests. Please review your order and the total before you pay; you are responsible for confirming that your order is correct. See the Privacy Policy for how voice requests are processed.
Some merchants allow orders to be placed through third-party AI assistants (such as Claude or ChatGPT). If you use an AI assistant to order, the assistant acts on your instructions and its provider's terms and privacy policy govern your use of the assistant. You pay on Soldi Now's hosted payment page, and you are responsible for reviewing the order and total before paying. Soldi Now is not responsible for the assistant's statements or actions.
You must provide true, accurate, current, and complete information about yourself (and, where applicable, your business) when creating an account and using our services.
You agree to comply with all applicable laws and regulations in your use of Soldi Now's services.
You must be at least 18 years old to create a Soldi Now account, join the Cash Club, or link a bank account. Our services are not directed to children under 13.
Soldi Now does not charge individual users (non-merchant accounts) any fees for its services. Merchants set their own prices, and may include service charges or fees in their prices as permitted by law.
Fees and charges applicable to merchants for the use of Soldi Now's services are governed by a separate Merchant Agreement.
Soldi Now uses encryption and other security measures to protect user data from unauthorized access, alteration, or disclosure. Please review our Privacy Policy for information on how we handle personal information.
Users are responsible for maintaining the confidentiality of their account credentials and devices (including passkeys) and for all activities that occur under their account.
All content on the Soldi Now platform, including text, graphics, logos, and software, is the property of Soldi Now or its licensors. Merchant menus, images, and other merchant content are the property of the respective merchants.
You may not use any Soldi Now trademarks, logos, or other proprietary graphics without our express written permission, and may not copy, scrape, or reverse engineer the services.
We may ask you to verify your identity or confirm sensitive actions using methods such as passkeys, one-time codes sent by email or SMS, or sign-in with a third-party account provider.
You can change the verification methods available to you, where we offer alternatives, by contacting support or through your account settings where available.
Soldi Now uses fraud detection and prevention measures to protect users' transactions and accounts.
Users must immediately report any suspected fraudulent activity or unauthorized transactions to Soldi Now through the support contact provided (see Section 19). For an unauthorized card transaction, you should also contact your card issuer.
Soldi Now will investigate reported fraud and unauthorized transactions. Because some transactions settle quickly and may be irrevocable, early reporting may not prevent a transaction from being completed. However, prompt reporting is crucial for documenting the incident and potentially assisting in recovery efforts. If fraud is confirmed, Soldi Now may take appropriate actions, which may include working with the involved financial institutions and processors to seek a resolution and suspending or terminating the fraudulent account.
Refunds and returns are subject to the policies of the individual merchants. Soldi Now is not responsible for merchant refund or return policies.
Users must contact the merchant directly to request a refund or return. If the issue is not resolved, users may contact Soldi Now for assistance in mediating the dispute. For card payments, you may also have rights through your card issuer.
Soldi Now may assist in mediating disputes between users and merchants, but does not guarantee a resolution. The final decision rests with the merchant's policies and applicable law.
Soldi Now may offer promotional rewards (such as loyalty points) and discounts in collaboration with participating merchants, and from time to time with consumer-brand or distributor partners ("Brand Partners") who fund offers redeemable at participating merchants. These benefits may be presented at the time of payment, in the discovery surface, or in promotional communications, and may be applied to eligible bank or card payments made through Soldi Now.
Soldi Now's rewards program is marketed under the name "Soldi Now Cash Club." References to the Cash Club in our applications, communications, or marketing materials refer to the rewards program described in this Section 10.
While rewards and offers may be funded by the merchant, by Soldi Now, by a Brand Partner, or by a combination, Soldi Now manages the tracking, calculation, and application of rewards and offers on behalf of the funding party.
Discounts may be funded by the merchant, Soldi Now, a Brand Partner, or any combination. They may be applied during eligible transactions and will be reflected in the transaction summary if used. Discount availability and amounts may vary and are subject to change without notice.
Rewards points have no cash value, are non-transferable, and may only be redeemed within the Soldi Now platform in accordance with applicable merchant programs. Merchant programs may include earning rates, minimum balances, or vesting thresholds before points can be redeemed, which are shown to you in the app or at the merchant. Purchases paid with points are not refundable in cash.
Merchants may choose to modify or discontinue their participation in the rewards program at any time. If a merchant ends their rewards program or their relationship with Soldi Now, any unredeemed points associated with that merchant may expire immediately and will not be redeemable or transferable.
Soldi Now is not responsible for the loss of any unredeemed rewards due to merchant program termination, account closure, or user inactivity. Users are encouraged to redeem points promptly while available.
You acknowledge and agree that Soldi Now may send you email, in-app messages and, where you have separately agreed to receive them, push notifications or SMS messages, on behalf of participating merchants you have transacted with or who target audiences you belong to. These communications may include offers, reminders, win-back incentives, first-visit invitations, and notices of new merchants in your area. Some communications are triggered automatically by behavioral signals (such as time elapsed since your last visit to a merchant or your visit frequency) rather than by manual sends from the merchant.
Each promotional communication will identify Soldi Now as the sender and will identify the participating merchant on whose behalf it is sent (and, where applicable, the Brand Partner funding the offer).
You can opt out of promotional emails at any time by using the unsubscribe link in any promotional email or by contacting support@soldinow.com. Opting out of promotional communications will not affect transactional communications necessary to operate your account or your orders (for example, receipts, order updates, settlement notices, dispute updates, and security alerts).
We send promotional SMS messages only if you have expressly agreed to receive them. Message and data rates may apply. You can stop SMS messages at any time by replying STOP to any SMS you receive from us.
Soldi Now may present a personalized list of participating merchants and active offers based on your transaction history with the Soldi Now network. The order in which merchants appear may reflect organic factors and paid factors (such as Sponsored Placement, described in the Merchant Agreement). Where a placement is paid, it will be labeled as such.
Participating merchants may extend offers to customers of other participating merchants within the Soldi Now network. Soldi Now performs the audience selection internally; the targeted merchant does not receive your identity unless and until you choose to redeem the offer.
To power discovery, targeting, win-back and retention campaigns, Soldi Now uses signals derived from your activity on the platform, including transaction frequency, recency, basket size, and merchant categories. The Privacy Policy describes the data we process for these purposes and the choices available to you.
From time to time, Brand Partners may fund offers redeemable at participating merchants. Where an offer is Brand-funded, this fact will be disclosed in the offer detail.
Where Soldi Now runs a Brand-funded campaign, Soldi Now will report verified redemption results to the funding Brand Partner in aggregate or de-identified form, which does not include your name, contact information, payment credentials, or other directly identifying personal information, except as required by applicable law.
Brand-funded offers may be applied at the level of a specific product. The same disclosure and reporting rules in this Section 13 apply.
Soldi Now measures the effect of offers and promotional communications by tracking whether a recipient redeemed an offer, whether they returned for additional full-price purchases afterward, and how their behavior changed compared with similar users who did not receive the offer.
Reports to merchants concerning their own customers may include identifiable transaction information already known to that merchant. Reports to Brand Partners are provided in aggregate or de-identified form as described in Section 13.2.
You may stop using the services at any time, and may ask us to close your account by contacting support@soldinow.com.
Soldi Now reserves the right to suspend or terminate accounts that violate these Terms or engage in unlawful or fraudulent activities.
Soldi Now is not the seller of the food, goods, or services you order from merchants and is not responsible for their quality, safety, preparation, allergen content, or fulfillment.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SOLDI NOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, SOLDI NOW IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, AND SOLDI NOW'S TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS YOUR RIGHTS UNDER THE ELECTRONIC FUND TRANSFER ACT OR OTHER LAWS THAT CANNOT BE WAIVED.
You agree to indemnify and hold harmless Soldi Now from any claims arising from or related to your misuse of the services, violation of these Terms, or infringement of any third-party rights.
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except to the extent the consumer-protection laws of your state of residence apply.
Before starting arbitration, you agree to contact us at support@soldinow.com with a description of your claim and to try in good faith to resolve it informally for at least 30 days.
Any dispute arising under these Terms that is not resolved informally will be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may be conducted by video or telephone, or in the county where you live. Either party may instead bring an individual claim in small-claims court if it qualifies.
You and Soldi Now each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
You may opt out of this arbitration agreement by emailing support@soldinow.com, with the subject line "Arbitration Opt-Out," within 30 days after you first accept these Terms. Opting out does not affect any other part of these Terms.
Soldi Now may modify these Terms at any time. Changes will be effective upon posting the revised Terms on our platform, and the Version date at the top of this document will be updated. For material changes, we will provide notice through the app, our website, or email. Your continued use of the services after the effective date indicates acceptance of the revised Terms.
If any provision of these Terms is held invalid or unenforceable, the remainder of the Terms shall remain in full force and effect.

To use the bank-payment functionality of Soldi Now's application, you must open a "Dwolla Account" provided by Dwolla, Inc. and you must accept the Dwolla Terms of Service and Privacy Policy. Any funds held in or transferred through your Dwolla Account are held or transferred by Dwolla's financial institution partners. You must be at least 18 years old to create a Dwolla Account. You authorize Soldi Now to collect and share with Dwolla your personal information, including full name, date of birth, social security number, physical address, email address, and financial information; you are responsible for the accuracy and completeness of that data. You understand that you will access and manage your Dwolla Account through Soldi Now's application, and Dwolla account notifications will be sent by Soldi Now, not Dwolla. Soldi Now will provide customer support for your Dwolla Account activity and can be reached at https://www.soldinow.com, support@soldinow.com, or 408-203-6058.
